香港，中国- Media OutReach - 二零一七年十月三日 - 从事非专利药及品牌药品研发、生产、市场推广及销售的领先企业─雅各臣科研制药有限公司（「雅各臣」或「集团」；股份代号：2633）欣然宣布已完成发行本金总额为5亿港元的可换股票据予两名认购人，分别为Dragons 615 Limited （「Dragons」，由DCP China Credit Fund I, L.P.（「DCP Fund」）全资拥有的有限公司）及HH InRe JP, Ltd.（「HH JP」，由Hillhouse InRe Fund, L.P. ( "Hillhouse")间接全资拥有的有限公司）。

 

Dragons 及 HH JP 分别同意认购本金总额为2.8亿港元及2.2亿港元的可换股票据。而于二零二零年到期的三年期可换股票据，年利率为3.5%，初步转换价为每股2.50港元。是次认购之所得款项净额为4.9亿港元，将用作拨付潜在并购事项以及于亚太地区形成策略联盟。所得款项亦将用作为技术主导型生物制药的项目授权及直接投资提供支持。

 

雅各臣主席及行政总裁岑广业先生表示：「两家知名基金对我们的信任和支持，显示其对雅各臣之有效的业务战略以及未来增长前景均充满信心。凭着强健的战略资本，管理团队将透过战略收购或与同业结成策略联盟来扩展业务范畴及地域覆盖，以加快集团的增长步伐。」

 

Dragons为一家由DCP Fund全资拥有的有限公司，而 DCP Fund由知名国际机构投资者及淡马锡控股旗下的一间全资附属新加坡主权基金拨付资金。DCP Fund之普通合伙人为Dignari Capital Partners GP Limited，DCP Fund 之独家投资管理人为冰源资本有限公司。

 

HH JP由Hillhouse InRe Fund, L.P.间接全资拥有，Hillhouse InRe Fund, L.P.之普通合伙人为Hillhouse InRe Fund GP, Ltd.，而其独家投资管理人为高瓴资本管理有限公司。
